Supplier Code of Conduct

Suppliers who engage in any of the following behaviors in the course of business with TP-Link will be disqualified, and TP-Link reserves the right to permanently blacklist them from cooperation.

1. Adopting unethical business practices (including, but not limited to, promising or actually providing any form of benefits to TP-Link's relevant personnel) to secure opportunities for collaboration with TP-Link;

2. Engaging in malicious harassment after acquiring contact information of TP-Link's procurement or other department staff;

3. Providing false information.

Registration Agreement for Potential Suppliers

By signing this Agreement, the supplier acknowledges that it has read and agreed to the terms and conditions of this Agreement and agreed to register as a potential supplier of TP-Link Systems Inc. and all of its affiliates (hereinafter referred to as "TP-Link"). The signing of this Agreement only indicates that the supplier voluntarily joins the pool of potential suppliers of TP-Link, and does not constitute any form of cooperation between the two parties until the supplier is designated as a formal supplier and signs a specific purchase Agreement with TP-Link.

Acknowledgment and Acceptance of the Registration Agreement for Potential Suppliers of TP-Link:

Ownership, interpretive rights, and management of the potential supplier registration system belong exclusively to TP-Link. The registration system is intended solely for legal entities or other organizations aiming to become formal TP-Link suppliers. By signing, parties agree to be bound by this Agreement. Those unwilling to accept these terms will be ineligible for registration. Agreement is confirmed through online click-confirmation and takes effect immediately upon clicking the "Agree" button below.
1. Provision of information
The supplier is responsible for the authenticity, validity, accuracy, and completeness of the information they provide. The supplier shall update the provided registration information timely if any changes occur and ensure that the uploaded registration information is consistent with their actual situation at all times. If the information provided by the supplier is incorrect, false, outdated, incomplete, or invalid, TP-Link reserves the right to take one or more of the following measures at any time without assuming any compensation or liability:

a) Remove the supplier from the pool of potential TP-Link suppliers;

b) Suspend or terminate the initiation process of cooperation;

c) Suspend or terminate cooperation with the supplier.

The supplier bears full responsibility for the information provided and must compensate TP-Link for any damages arising from incorrect or illegal information. If such information leads to third-party claims against TP-Link, the supplier will defend TP-Link and ensure it incurs no losses.

2. Use of information

The supplier acknowledges and agrees that TP-Link has the right to use the information provided by the supplier. After the supplier has successfully registered as a potential TP-Link supplier, TP-Link will decide whether to select the supplier and initiate cooperation at its own discretion based on the supplier's registration information.

3. Disclosure of information

Any information filled out and uploaded by the supplier on the official website of TP-Link may be viewed by other visitors to the website and may also be used inappropriately. TP-Link does not assume any responsibility for any disputes, adverse effects, or losses caused by any third party’s improper use of information on this website.

4. Compensation for losses

TP-Link reserves the right to claim compensation for losses resulting from false or incorrect information provided by the supplier, malicious attacks on or improper use of the website, or any other actions.

5. Modification and deletion of information

The supplier may make changes to the information uploaded to the official website of TP-Link, and TP-Link reserves the right to retain, modify, or delete any inappropriate information at its discretion.

6. Commitment to Integrity

The supplier undertakes to comply with TP-Link's requirements of integrity, fairness, and impartiality in a series of activities (including but not limited to providing information, actual visits and exchanges, business negotiations, etc., hereinafter referred to as "exchange activities") carried out by the supplier for the purpose of seeking cooperation with TP-Link. The supplier shall not adopt any unethical business practices (including, but not limited to, promising or actually providing any form of benefits to TP-Link's relevant personnel) to secure opportunities for cooperation with TP-Link. If the supplier violates the integrity commitment, TP-Link has the right to take the measures stipulated in Article 1 of this Agreement.

7. Dispute settlement

This Agreement is governed by the laws of the People's Republic of China. The parties to the Agreement acknowledge and agree that the signing place of the Agreement is Nanshan District, Shenzhen City. Any disputes related to this Agreement shall be settled by both parties through friendly negotiation. If the negotiation fails, both parties agree that each party shall and can only bring a lawsuit to the people's court with jurisdiction in the place where the contract is signed.
